Howard Greenspoon – Member Board of Directors

Howard is a partner in Greenspoon Perreault’s Corporate Department and a member of the firm’s Technology Practice.  Howard has particular expertise in representing closely-held and public companies involved in a variety of industries, including high technology, biotechnology, telecommunications, and e-commerce and internet services companies. His transactional experience includes (i) negotiating, structuring, and implementing strategic acquisitions and private equity transactions, representing both acquiring companies, targets and private equity sources, and (ii) private placements of equity and debt, representing both investors and issuers. While his practice of technology law entails involvement in a wide array of agreements and arrangements related to the sale, purchase, license, development or lease of intellectual property goods and services, Howard has substantial experience in transactions involving software development efforts and large scale licensing arrangements.  Howard’s practice also involves the representation of developers and non-institutional investors in real estate acquisition, development and leasing matters.


In conjunction with the practice of law, Howard currently sits on the boards of a number of other companies in Montreal and is active in several community organizations and charities.  Howard is also the founder and Chairman of CorporationCentre.ca, the leading provider of legal corporate services and products in the Canadian online marketplace. 

Howard received his BCL, LLB and Bachelor of Commerce degrees from McGill University.  In addition to earning various academic scholarships and awards, Howard was a member of the McGill Law Journal and remains active in his community, including his current position as an Advisory Board Member of The Portage Program for Drug Dependencies.


Farrel Miller – Founder & CEO

Mr. Miller is the Founder and CEO of SportTV.com, an internet distributor of live world class sport events from around the world.  SportTV.com is a closely held company with extensive experience in the field of live streaming media.  Mr. Miller has assembled a top level Management and Directors team in anticipation of the company’s launch in fall 2007.

Over the past fifteen years, Mr. Miller has been focused primarily on founding, operating, financing, advising and investing in early-stage technology companies. He has extensive startup operating experience and has personally driven and executed virtually all the phases of company building. He has a track record in raising venture capital, angel and strategic financing, strategic planning and positioning, management team building, new product development and launch, marketing and public relations, negotiating strategic partnerships, building and managing an internationally-distributed organization, and executing exit strategies.

From 2000 to 2005, Mr. Miller founded and served as CEO and Chairman of JumpTV Inc., the world’s largest online distributor of international TV channels, and a public company (London AIM & TSE markets) with a market capitalization of US$100M.  JumpTV developed into a high growth media distribution company with a strong subscriber base and defensible market position. Mr. Miller served on the Board of Directors of JumpTV until 2006. Mr. Miller was honored in 2005 as a Finalist for the "Promie" Entrepreneur of the Year award in connection with the development and growth of JumpTV.

From 1999 to 2000, he co-founded, was co-chairman and served at various times as CEO of Giftworld.com, an ebusiness services and e-commerce startup. Giftworld.com was the third highest-rated gift site on the Internet by Gomez Advisors, a leading internet analyst firm. Giftworld.com was ultimately sold to Museum Company, a leading specialty retailer, in 2000.

Earlier in his career Mr. Miller was a venture capitalist at the Castle Group, focusing on very early-stage investments in the biotech, healthcare, media and information technology spaces, where he gained valuable experience identifying, sourcing and negotiating private equity and venture stage investments. During this tenure Mr. Miller introduced the first distribution of western companies' television advertising on Russian TV, which took place during the 1992 Winter and Summer Olympic Games telecasts.

Mr. Miller began his career as a corporate attorney with Rogers & Wells in New York City, currently merged as Clifford Chance Rogers & Wells LLP.

Mr. Miller has served as a regular guest lecturer at McGill University Faculty of Law and he is a frequent speaker at industry conferences on the application of copyright law to the internet and media related matters. He also serves as co-chairman of the annual Lila Sigal Marathon Hockey Tournament, an annual fundraiser for cancer research development.

Mr. Miller received a LL.B. Law degree and MBA Finance from McGill University, and a B.A. Economics from Brandeis University.

Mr. Miller resides in Montreal with his wife and two children.


Arthur Smith – Member Board of Directors

Arthur Smith, CEO of A. Smith & Co., has been working in the entertainment industry his entire life.  As a youth, he acted in feature films, television sitcoms and television commercials, and hosted a video show. On an academic scholarship, Smith studied communications at Ryerson Polytechnical Institute in Toronto, where he excelled in his studies.  While at Ryerson, Smith won numerous awards for his inventive productions and graduated first in his class.

Upon graduation in 1982, Smith began a successful career at CBC Network Sports, where he produced and directed major sporting events around the world, such as Executive Producing three Olympic Games for which he won numerous awards, including two prestigious Gemini Awards.  At the age of 28, Smith was named Head of CBC Sports.  Smith’s approach to sports coverage was an entertainment format filled with stylized graphics, driving music, high profile features, and technological innovations.  Smith’s drive for excellence did not go unnoticed by the entertainment industry, as top entertainment firms in New York and Los Angeles wooed him.

In 1990, Dick Clark lured Smith to Los Angeles to be Senior Vice President of Dick Clark Productions, where he created a m�lange of variety, comedy, reality, game, talk and music programming for network, cable and syndicated television.  Smith’s accomplishments at Dick Clark included: Producing and Executive Producing the USA Music Challenge, Battle of the Bands, the Jim Thorpe Pro Sports Awards, and The Great 18 Golf Championship for ABC.  Smith also created and produced When Stars Were Kids, Caught in the Act, and Universal Studios Summer Blast for NBC.

In January 1995, after being pursued by MCA Universal for some time, Smith agreed to join the company as Senior Vice President of the MCA Television Group.  Once again Smith delivered.  Only months after he arrived, MCA Television had commitments for shows from ABC, NBC, FOX and CBS.  Smith also rejuvenated MCA’s first run division, with a number of projects/acquisitions he developed for syndication.  Smith’s stint at MCA Television Group was a short one, however, as the entertainment industry, aware of his ability to create innovative programming that excited target demographics, clamored to persuade him to join their forces.

Intrigued by a new Fox venture, Smith joined Fox as the Executive Vice President of Programming, Production and News and launched Fox into the cable sports business.  While at Fox Sports Net, Smith oversaw what would become the fastest growing TV sports network.
Smith’s responsibilities included supervising production, development, scheduling, and acquisition of all programming, nationally and regionally.  Smith acted as Executive Producer on over 4500 events and thousands of original hours of programming each year.  Smith also created and implemented the network’s slick on-air look and style.

In November of 2000 Arthur joined forces with longtime friend Kent Weed to form A. Smith & Co. Productions. Right from its inception, the company hit the ground running, securing numerous commitments from broadcast networks, cable networks and syndicators. In its brief history A. Smith & Co has worked with 20 different networks. Smith serves as Executive Producer on all A. Smith & Co. productions. Some of the company's highlights include Fox Prime Time hits, Hells Kitchen, The Swan, Skating With Celebrities, Paradise Hotel and Celebrity Duets;CBS Hero's Welcome, UPN's I'm Still Alive, Fox Sports Net's You Gotta See This, History Channel's Come Home Alive, Sci Fi's Mad Mad House, Direct TV's Championship Gaming Series, and Versus' Holy B@#%*! to name a few. Coming in 2007, Hells Kitchen 3, 3 new cable series, a new Network series, and the debut of the Rocket Racing League. Smith serves also as head writer on many of the company’s series. He is also a leading consultant to major media companies and sport entities including clients such as Paul Allen and Gemstar. He also serves on the board of several sports organizations as well.
